1. Agreement to Terms

These Terms of Use and Privacy Policy (together, the "Agreement") govern your access to and use of the website located at jbchase.com (the "Site") and any diagnostic, advisory, reporting, or done-for-you services offered by JB Chase Inc. ("JB Chase," "we," "us," or "our"). By submitting a form, purchasing a subscription, or otherwise engaging our services, you ("Client," "you") agree to be bound by this Agreement. If you do not agree, do not use the Site or our services.

Our services are intended for businesses and business representatives, not individual consumers acting in a personal capacity. By submitting information to us, you represent that you are authorized to act on behalf of the business whose information you are submitting, and that you are at least 18 years of age.

2. Description of Services

JB Chase provides business growth diagnostics, advisory reporting, and done-for-you operational and marketing services, which may include (depending on the engagement): a free growth diagnostic, a recurring monthly growth report, automation builds, AI-assisted booking or follow-up systems, marketing execution delivered through third-party partners, and embedded operational advisory services. Specific scope, deliverables, and pricing for any paid engagement will be confirmed separately (via order form, proposal, or checkout page) before you're charged. We may change, add, or discontinue any service offering at any time.

3. No Guarantee of Results

Business advisory and marketing services inherently involve judgment, and outcomes depend on factors outside our control, including your business's execution, market conditions, and third-party platforms. We do not guarantee any specific revenue, profit, lead volume, or other business outcome from any service, including paid engagements. Recommendations are based on the information you provide and our professional judgment; they do not constitute legal, tax, or financial advice, and you should consult your own qualified advisors before making material business, legal, or financial decisions.

4. Submitting Business Information

To provide the diagnostic, report, or done-for-you services, we ask you to submit information about your business, which may include revenue figures, gross margins, pipeline and customer data, marketing channel performance, current pricing and offers, and related operational details ("Business Data"). You are solely responsible for the accuracy of the information you submit, and for having the authority to share it with us. Do not submit information you are not authorized to disclose (for example, data belonging to a business partner, employee, or client that you don't have permission to share).

5. How We Use Your Information (Privacy Policy)

Information we collect. Through forms on the Site, we collect contact information (name, business email, company name) and the Business Data described above. Through your general use of the Site, we (and our hosting/analytics providers) may collect standard usage data such as pages visited, browser type, and approximate location, typically through cookies or similar technologies.

How we use it. We use the information you submit to prepare your diagnostic or report, deliver the services you've engaged us for, process payment for paid tiers, communicate with you about your engagement, and improve our own services and processes. This may include the use of third-party service providers and AI-based tools to help analyze data, generate drafts of reports, or otherwise support service delivery — any such tools are used under our direction and are not authorized to use your Business Data for their own independent purposes.

Sharing. We do not sell your information. We may share it with service providers who help us operate our business (for example, hosting, payment processing, or scheduling tools), under obligations to protect it. If you engage a done-for-you service that involves a referral partner (for example, social media, advertising, or Google Business Profile management delivered by a third party), we will only share the specific information that partner needs to perform that service, and only after you've agreed to that referral.

Retention & security. We retain your information for as long as needed to provide services and for a reasonable period afterward for record-keeping, unless you request deletion sooner (see Section 9). We use reasonable administrative and technical measures to protect your information, but no method of transmission or storage is 100% secure, and we cannot guarantee absolute security.

Cookies & analytics. The Site may use cookies and analytics tools (including those provided by our website platform) to understand site usage and improve the Site. You can control cookies through your browser settings; disabling them may affect how the Site functions.

Children's privacy. The Site and our services are directed at businesses, not children. We do not knowingly collect information from anyone under 18.

6. Payment Terms

Monthly Growth Report ($97/mo). This is a recurring monthly subscription billed automatically until cancelled. There are no long-term contracts — you may cancel at any time, effective for the next billing cycle. Once a monthly charge has processed, that month is non-refundable, including if you cancel partway through the billing period.

Done-for-you projects. Scoped project work (automation builds, embedded advisory, and similar engagements) may require a deposit or upfront setup fee before work begins. Once work has started, deposits and setup fees are non-refundable, reflecting the time and resources committed to your engagement. Ongoing monthly fees for monitoring or management (where applicable) follow the same cancellation terms as above unless otherwise stated in your specific agreement.

Pricing changes. We may change pricing for any service; changes to recurring pricing will be communicated in advance and will apply to future billing cycles, not charges already processed.

7. Intellectual Property

JB Chase retains all rights to our proprietary frameworks, methodologies, templates, and internal tools used to prepare your diagnostic, report, or deliverables. You receive the finished deliverables (your diagnostic, report, or built systems) for your own business use — we are not granting you rights to our underlying methods, tools, or any materials prepared for other clients. You retain ownership of your own Business Data and any pre-existing materials you provide to us.

8. Confidentiality

We will treat your Business Data as confidential and will not disclose it to third parties except as described in Section 5 (service providers and, with your consent, referral partners), as needed to deliver services, or as required by law. In turn, any proprietary JB Chase materials, pricing, or methodologies shared with you during an engagement should be treated as confidential and not shared outside your business without our consent.

9. Your Choices & Rights

You may request a copy of the information we hold about you, ask us to correct it, or request deletion, subject to our legitimate need to retain certain records (for example, billing history). You may unsubscribe from marketing communications at any time using the link provided in those communications, though you may still receive service-related communications tied to an active engagement. 10. Limitation of Liability

To the fullest extent permitted by law, JB Chase's total liability arising out of or related to this Agreement or any services provided will not exceed the amount you paid to JB Chase in the [three (3) months] preceding the claim. JB Chase will not be liable for indirect, incidental, consequential, or special damages, including lost profits or lost business opportunities, even if advised of the possibility of such damages. Nothing in this section limits liability that cannot be limited under applicable law.

11. Indemnification

You agree to indemnify and hold JB Chase harmless from claims, damages, or expenses arising from your breach of this Agreement, your misuse of the Site or our deliverables, or your submission of information you were not authorized to share.

12. Termination

Either party may terminate an ongoing engagement at any time, subject to the payment terms in Section 6 (including non-refundability of processed charges and started-work deposits). We may suspend or terminate access to the Site or our services if we reasonably believe this Agreement has been violated.

13. Dispute Resolution; Governing Law

This Agreement is governed by the laws of the State of Florida, without regard to conflict-of-laws principles. Any dispute arising out of or relating to this Agreement or our services will be resolved through binding arbitration on an individual basis, rather than in court, except that either party may bring an individual claim in small claims court if it qualifies. You and JB Chase each waive the right to participate in a class action or class-wide arbitration. Arbitration will be conducted in [Duval County, Florida] under the rules of a mutually agreed arbitration provider.

We may update this Agreement from time to time. We'll update the "Last updated" date above when we do. Continued use of the Site or our services after a change means you accept the updated terms.
